Senior Legal Counsel
Umniah, Jordan

Responsible for providing strategic legal advice and guidance to Umniah on diverse legal issues impacting on its end to end operations amp; the documentation of such matters and developing the applicable contract/agreement and/or terms and conditions for all purchases including any special clauses to eliminate/mitigate any contractual risks.

• Provide sound legal and commercial advice to Umniah across its end to end operations
• Select the most appropriate contract/agreement template and reflect the agreed technical and commercial offers along with any other needed terms and conditions
• Develop contracts/agreements when needed (in-line with the approved templates) to have a final draft which would be best suitable for special projects
• Develop applicable terms and conditions that shall be dispatched with purchase orders to protect the rights for the company and the supplier/vendor
• Arrange with all stakeholders to secure needed approvals/confirmation in order to have the contract/agreement signed by the authorized signatory
• Keep the contracts/agreements database up to date and trigger needed notification on timely manner (before expiry) in order to take needed actions by the concerned (requestor and buyer)
• Negotiate and draft a wide variety of commercial agreements including affiliations agreements, Mamp;A agreements, real estate agreements, software/IT agreement and Marketing agreement
• Handle any corporate governance requirements as per the Jordanian Companies Act.
• Negotiate and draft contracts involving network platforms, product design and delivery, and information and communications technology solutions
• Work in partnership with the company's operational areas including wholesale, business and retail divisions, procurement, business development, finance, tax, public relations and marketing, technology, and debt recovery
• Interpret the corporate and service policies, strategies, business plans and programs of the company
• Keep abreast of legal developments and ensure that these support services operate in accordance with modern good practice
• Collaborate internally with the Communications, Public Policy, and Development departments
• Provide strategic direction and guidance on various regulatory and compliance matters affecting the company's business activities
• Archive concluded works on daily basis
• Attend meetings and represent the company at any competent authority.
• Review, draft and advice on court and judicial correspondences.
• Supervise the litigation process handled by the company’s external counsels.

Requirements

Bachelor's degree in law.

Advanced Experience in a related field (7+ years)

• Reasonable knowledge of international laws amp; regulations

• Excellent knowledge of problem-solving techniques
• Excellent communication skills
• Excellent negotiation skills
• Excellent command of English Language both speaking and writing
• Excellent command of computer skills (MS Office)
• Exposed to similar commodities purchases
• Excellent legal drafting skills
• Well Experienced in the CCD’s process amp; procedures (Companies Control Department)

Desirable:

• Familiar with telecommunication purchase requirements
• Familiar with telecommunication vendors

Essential:

• Certified Lawyer registered in the Jordanian Bar Association

Desirable:

• Advanced Contract Management or any equivalent certification
